Aspen Technology Announces Pricing of Secondary Public Offering
Burlington, Mass - Aspen Technology, Inc. (NASDAQ: AZPN), a leading provider of software and services to the process industries, today announced the pricing of its secondary public offering of 18,000,000 shares of common stock at a price of $9.00 per share, an increase from 15,000,000 shares as originally offered. All of the shares are being offered by funds managed by Advent International Corporation, a global private equity firm. In addition, the selling stockholders have granted the underwriters a 30-day option to purchase up to 2,700,000 shares to cover any overallotments. Aspen Technology will not receive any of the proceeds from the sale of shares.

J.P. Morgan Securities LLC and Deutsche Bank Securities Inc. are acting as joint book-running managers for the offering. William Blair & Company, L.L.C., Canaccord Genuity Inc., Wells Fargo Securities, LLC, Cowen and Company, LLC and Pacific Crest Securities LLC are the co-managers of the offering.
